RULES AND REGULATIONS
By submitting an entry to this Contest, applicants ("Applicants") agree to these official rules and regulations and acknowledge that the decisions of Portfolio Entertainment Inc. ("Portfolio") shall be binding and final in all matters relating to this Contest. Please review carefully.
Portfolio's "In Toon with Tweens Animation Contest" (the"Contest") is scheduled to take place from February 8th through June 15th 2010. To be valid, all successfully completed application forms and support materials must be received online by Portfolio no later than 11:59 PM EST on June 15th, 2010. Application forms and support material will not be returned.
To enter, Applicants must complete the online application form and submit all outlined support material to the Contest website (www.portfolioentertainment.com/contest) by the stated deadline. No purchase is necessary. Any application form and support materials received any other way shall not be considered a valid submission to the Contest. It is the sole responsibility of the Applicant to notify Portfolio of changes to his/her address, telephone, email or other contact information. To do so, you must submit in writing via email to portfolio@portfolio-ent.com or via post to Portfolio Entertainment Inc., 110 Eglinton Ave, Suite 602, Toronto, Ontario, M4P 2Y1.
The Contest is open to individuals who are 19 years of age or older, worldwide (excluding the Province of Quebec and any other jurisdiction where participation in this Contest may be prohibited by law). All submissions must be in the English language. Employees, consultants, independent contractors and interns of Portfolio and the Judges, and persons with whom they are domiciled, are not eligible to enter. The content of the submission must be appropriate for persons 8 to 12 year-old as determined by Portfolio. The content of the submissions may be productions meant for television production and exhibition or web-based, multi-platform production and exhibition. All Applicants, or at least one member of the creative team where the Applicant is made up of a group of individuals, must have at least one professional credit as outlined in the eligibility requirements. Projects with vulgarity, extreme violence and pornography as determined by Portfolio are not eligible to enter and will be disqualified upon submission.
In addition, applicants represent and warrant to Portfolio that their entry is completely the original work of the Applicants, not copied from any other source or previously broadcast or otherwise distributed or disseminated on television or the internet, not in the public domain, and not in violation of or conflict with the trademark, copyright, rights of privacy, rights of publicity or any other rights, of any kind or nature, of any other person or entity. If Portfolio, at its sole discretion, has reason to believe that any entry contains any material that may infringe or violate any law or any rights of a third party, Portfolio may immediately disqualify such entry and take all other measures Portfolio may deem appropriate. Prior to the awarding of any Prize, the Winning Applicant agrees to sign and to obtain from all necessary third parties, all releases, permissions and other written documents, in a form acceptable to Portfolio as may be required by Portfolio upon request so as to confirm their rights in the entry. Each Applicant agrees that upon request, he or she shall provide to the company all necessary written releases and permission pertaining writers, animators and any other third parties providing any services or materials in connection with the Contest entry.
By entering The Contest, Applicants agree to indemnify, defend, release, discharge and hold harmless Portfolio and its affiliates, employees, officers and licensees and assigns and the Judges from any and all claims, liability, including but not limited to negligence and damages of any kind to persons and property, including but not limited to any claims based on rights of privacy, rights of publicity, false light, defamation, copyright and/or trademark infringement. By entering The Contest, all participants grant to Portfolio the unrestricted right to use the material contained in their submission materials for promotional purposes without compensation, review or approval unless prohibited by law. All federal, provincial and local laws apply.
Entries not satisfying these official rules and regulations will be disqualified.
The panel of Judges consists of individuals selected by Portfolio and the Judges will review all the Finalists and rank the Finalists in order based on the following criteria: adherence to eligibility requirements, originality, creativity, humour, innovation, marketability, feasibility and the overall quality of materials submitted.
The deliberations of the Judges are private and the final decisions of the Judges will not be subject to question or appeal.
The judging will occur over a period several weeks following the stated deadline and officially selected Winners will be notified by telephone and/or email. If any designated representative of an official selection does not reply to any notification by Portfolio within five (5) business days or Portfolio and the Applicant are unable to agree on the terms of the Option and Development Agreement within five (5) business days following presentation to the Applicant of the Portfolio Option and Development Agreement, such potential Official Winner may be disqualified at the discretion of Portfolio and an alternate Official Winner may be selected from the next eligible Finalist as selected by the Judges. Portfolio shall not be responsible in any way for any missed, lost or misdirected notification or an Applicant's failure to receive a communication from Portfolio. Initial attempts to contact the Winners will take place no later than October 2010.
Two Prizes will be awarded:
The 1st place prize package includes $7,500, a two-year development deal with Portfolio Entertainment, Adobe Creative Suite 5 Design Premium Software and Toon Boom's Enterprise Solution including Harmony and Storyboard Pro SOFTWARE for one-year & support from a Toon Boom expert.
The Second place prize package includes $2,500, a one-year development agreement with Portfolio Entertainment, Adobe Creative Suite 5 Design Premium Software plus the use of Toon Boom's Enterprise Solution SOFTWARE for 6 months and support from a Toon Boom expert.
All fifteen finalists will also receive the use of Toon Boom's Enterprise Solution SOFTWARE with technical support for 3 months.
By submitting an entry to The Contest, Applicants acknowledge and confirm that there exists no other production or development option in place with respect to the Submission and that all exclusive rights worldwide are available for acquisition by Portfolio. In addition, the Applicant acknowledges that they are the legal rights holder of the project and as such, authorized to accept the Option and Development Agreement with Portfolio should that project be declared either the First or Second Prize Winner.
Contest entries may be submitted only once. However, representatives and participants may submit more than one entry of a different nature.
All personal information, such as name, address, telephone number, e-mail address is collected solely for the purposes of administering this Contest and shall not be used for any other purpose without your consent. By providing this information, you consent to it being used by Portfolio and their affiliates for the stated purposes.
If for any reason, the Contest is canceled or cannot be administered or completed as planned, Portfolio reserves the right at its sole discretion to terminate, modify or/or suspend the Contest and to determine the Winners by having the Judges evaluate all eligible entries received prior to the action taken, or as otherwise deemed fair and equitable by Portfolio. By entering The Contest, Applicants agree that should the Contest be terminated for any reason, such Applicant irrevocably waives any right to seek and / or obtain rescission and/or equitable and/or injunctive relief.
Participants may withdraw from The Contest at any time between February 8, 2010 and October 2010. To do so, a written notice stating the Applicant's intention to withdraw from the Contest must be received in writing and signed by all parties included in submission material. Written notice of withdrawal must be sent via email or Registered Mail to Portfolio Entertainment Inc., 110 Eglinton Ave. East, suite 602, Toronto, Ontario, M4P 2Y1.
