TERMS AND CONDITIONS (Terms of Use) Portfolio is located at 110 Eglinton Avenue East, Suite 602, Toronto, Ontario, M4P 2Y1, and includes its successors, licensees, assignees, directors and employees under these terms and conditions. The Content refers to all written, animated and/or audio visual elements and ideas offered or submitted to the Contest including but not limited to project synopsis, outlines, biographies, videos, software, designs, likenesses, artwork, images, music, and information, tangible and intangible, including derivative works, on all media and formats, existing or future. The submitted Content will not be published or otherwise made available for public viewing during or after the period of "In Toon with Tweens Animation Contest" except to promote subsequent versions of the Contest and only with the prior permission of the Applicant. Applications require providing personal information. Your personal information must be complete, accurate, and YOURS. Any private information and/or data relating to your participation in the Contest or your uploaded submission content that you are asked to supply or that you supply voluntarily as part of the submission process will only be used by Portfolio as part of the process of administering the Contest. As part of the application process, you will be asked to ACCEPT these terms of use. On doing so, you will be deemed to have consented to these terms of use as well as The Contest Rules and Regulations, and you will be bound by these Terms and Conditions. Portfolio may at its sole discretion disclose any submitted content to the police, regulatory bodies or any legal advisers in connection with any suspected or alleged criminal activity of offense or suspected breach of these Terms and Conditions, including by not limited to any claim of infringement by you or otherwise where required by law. When you upload Content to the Contest website, you are confirming that you have reviewed in full and are in full compliance with the official Rules and Regulations section on The Contest website (www.portfolioentertainment.com/contest.) You shall be solely responsible for your own Content and the consequences of uploading said submission content. In connection with all Content that you upload to the Contest Website (www.portfolioentertainment.com/contest), you affirm, represent and/or warrant that you own, or have the necessary licenses, rights, consents, and permissions to use and authorize Portfolio to use the Content, including without limitation any written material, graphic designs, animated designs contained therein. You or any third party may not display, copy, store, modify, sell, publish or redistribute any portion of the Contest. Unauthorized use of the Contest or any Content provided by any Applicant is prohibited and may result in criminal prosecution and/or civil liability. You may not use The Contest's website (www.portfolioentertainment.com/contest) for any illegal purpose, to make unsolicited offers or advertisements, to impersonate or falsely claim affiliation with any person or entity, to misrepresent, harass, defraud or defame others, or to negatively present Portfolio or the Contest. You are not allowed to transmit malicious code or to collect information of other users through Portfolio and the Contest websites (www.portfolioentertainment.com, and www.portfolioentertainment.com/contest). You may not take any action to interrupt the functionality of or tamper with the content contained on (www.portfolioentertainment.com) or its servers or to unreasonably affect others' enjoyment of the Contest or (www.portfolioentertainment.com) in any way. You agree to assume all risks of using the Contest website and not to hold responsible Portfolio and its affiliates, employees, officers and licensees and assigns and the Judges, for any damages, losses, or harm, tangible or intangible, including but not limited to compensatory, consequential, punitive, incidental, or attorney's fees arising from your participation in the Contest. Portfolio will not be held liable for late, lost, delayed, not received, damaged, misdirected, incomplete, stolen, fraudulent, or illegible entries (all of which entries shall be automatically void and not eligible for the Prizes). Portfolio reserves the right to cancel the Contest in the event that Portfolio determines, at its sole discretion, that there are an insufficient number of eligible entries submitted for the Contest. If for any reason in the opinion of Portfolio, at it's sole discretion, the Contest is not capable of running as planned or if the administration, security, fairness, integrity or proper conduct of the Contest is corrupted or adversely affected, including by reason of tampering, unauthorized intervention, fraud, or other causes beyond its control, the Portfolio reserves the right to cancel, terminate, modify or suspend the Contest. If chosen as a Winner, Applicants must successfully complete a mathematical skill-testing question and sign an Option and Development Agreement as a condition of receiving the Prize. The photograph, voice, video footage and/or statements of Winners may be used for publicity purposes without compensation, in any future publicity carried out by Portfolio in connection with this or any similar contest. Applicants have read and accepted Rules & Regulations and Terms and Conditions of this Contest, which shall be final and legally binding, in all matters relating to this Contest. All decisions made by the Portfolio with respect to the Contest will be final. Under no circumstance will the liability of Portfolio exceed the cash value of the Prizes. The Contest shall be governed by the laws of the province of Ontario and the Contest will be construed in all respects in accordance with the laws of the province of Ontario applicable to an agreement entered into and to be wholly performed therein, and you agree to submit to the exclusive jurisdiction of the provincial courts of Ontario, regardless of your own citizenship. You may not amend these terms. If any of the terms are illegal or unenforceable or there is a claim that we have breached any of these terms, it does not affect or invalidate the other terms.
